1 · Acceptance of Terms
By accessing or using www.latticetalk.ai (the “Site”) or any AI assistant, chatbot or related analytics service provided by LatticeTalk Inc. (“LatticeTalk,” “we,” “us,” “our”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Site or Services.
2 · Service Architecture & Open Source Integration
LatticeTalk Inc. is a C Corporation incorporated in the State of California, USA headquartered at 7740 Painter Ave #110, Whittier, CA 90602.
LatticeTalk Inc. operates as a specialized Managed Service Provider (MSP) and systems integrator. Our platform provides a proprietary orchestration, cloud hosting, and security layer for an integrated suite of independent open-source software plus our own AI chatbot, also released under the GNU LGPL 3.0 open-source license. Our core architecture utilizes the following frameworks:
- Help Desk & Communication: Built on the FreeScout Help Desk framework (AGPL 3.0).
- Event Orchestration: Integrated with the Attendize Ticket Management system (AAL).
- Resource Scheduling: Powered by the LibreBooking/LibreSchedule engine (AGPL 3.0).
LatticeTalk provides professional services to train, harden, and maintain these integrated environments, ensuring high-availability and compliance for our Subscribers.
3 · Eligibility & Permitted Use
- You must be at least 18 years of age to enter into these Terms.
- You may use the Services only for lawful purposes and in compliance with all applicable laws, including FERPA, HIPAA, ADA, CCPA/CPRA, and PCI where relevant to your organization.
4 · Subscription, Billing & Managed Service
- Assistants and integrated suites are sold on a subscription basis (monthly or annual).
- Subscriptions auto-renew at the then-current rate. You may cancel auto-renewal with 30 days’ written notice.
- Fees are non-refundable except as required by law. California residents may have additional rights regarding service cancellation.
5 · Ownership & Intellectual Property
- Input: You retain all rights to customer-provided content (“Input”).
- Managed Layer: LatticeTalk owns all rights to its proprietary orchestration logic, machine-learning fine-tuning, and aggregated usage data.
- Open Source Components: Third-party components remain governed by their respective licenses (e.g., MIT, GPL, LGPL).
- Proprietary Layer: LatticeTalk Inc. maintains proprietary orchestration logic and interfaces. Advanced data processing, high-scale inference, and deep-log analytics are provided via third-party service-level agreements with upstream technology partners, including HK3, Intuitive Data Analytics, OpenAI, Sinch, ElevenLabs, Qdrant and Stripe. These partner-owned workflows and backend infrastructures are separate legal entities and are not governed by these Terms.
6 · Logs & Analytics
All interaction logs are stored securely. Logs are retained for the duration of the subscription plus up to 12 months, unless a shorter retention window is required by law or agreed upon in writing.
7 · Disclaimer of Warranties
The Services are provided “as is.” AI outputs are probabilistic and may be inaccurate. Subscribers are responsible for human review of mission-critical answers. LatticeTalk disclaims all warranties, express or implied, to the extent permitted by California law.
8 · Limitation of Liability
To the maximum extent permitted by California law, LatticeTalk Inc. and its officers and employees shall not be liable for indirect, incidental, special, or consequential damages. In no event shall our aggregate liability exceed the total amount you paid to LatticeTalk Inc. in the twelve (12) months preceding the event giving rise to the claim.
9 · Indemnification
You agree to defend and indemnify LatticeTalk Inc. from any third-party claim arising out of your content or your breach of these Terms.
10 · Governing Law & Venue
These Terms are governed by the laws of the State of California, USA. Any dispute shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
11 · Open Source Framework Disclosure
The LatticeTalk Chatbot is released as a standalone utility under the GNU Lesser General Public License (LGPL) v3.0. This ensures the UI framework remains accessible while maintaining the integrity of our managed backend integrations.
Note on Scope: This open-source release is limited to the client-side user interface framework. It does not include, license, or grant access to the proprietary backend APIs, vector database structures, or the specialized analytical workflows provided by our 3rd party partners and infrastructure providers, including but not limited to: HK3, OpenAI, Sinch, ElevenLabs, Intuitive Data Analytics, Qdrant and Stripe.

12 · Termination
Either party may terminate for material breach with 30 days’ written notice. Sections regarding Ownership, Liability, and Governing Law survive termination.

- Chat Content & Logs — transcripts, timestamps, user agent, IP.
- Account / Billing Data — name, e-mail, address, payment method.
2 · How We Use Information
- Operate AI Assistants and managed services.
- Generate usage analytics.
- Improve model accuracy through anonymised training.
3 · Your California Privacy Rights (CCPA/CPRA)
As a California-based corporation, we comply with the California Consumer Privacy Act. Residents have the right to: (a) Know what personal information is collected; (b) Request deletion of personal information; (c) Opt-out of the "sale" or "sharing" of personal information. LatticeTalk does not sell personal data to third parties.
4 · Data Retention & Security
We implement industry-standard encryption. Data is retained for the duration of the subscription plus 12 months, then securely deleted.
